Jon D. Cohen
Jon Cohen’s practice spans the firm’s litigation, bankruptcy and welfare benefit departments. Prior to joining Stahl Cowen, Jon worked for an appellate judge, served as in-house counsel for a Fortune 500 company and, later became a partner at a large law firm.In his capacity as a commercial litigator, Jon has represented public and private companies, partnerships, retiree groups, and individuals in disputes arising out of breaches of contract, trade secrets, shareholder disputes, securities fraud, breaches of fiduciary duties, internet domain name disputes, restrictive covenants, property disputes, Federal and State appeals, fraudulent conveyances, and a wide range of injunctive actions. His commercial litigation experience includes Federal and State hearings throughout the country, as well as the defense or prosecution of more than 80 arbitration actions (before the AAA, NASD, NYSE, SEC and FINRA). Jon has also handled dozens of cases where parties have sought or fought against injunctions in the context of post-employment restrictions (i.e. restrictive covenants).
In Chapter 11 bankruptcies, Jon leads a team at Stahl Cowen concentrating on the representation of Retiree Committees (formed under Section 1114 of the Bankruptcy Code). This area of the firm’s practice concentrates on the protection of retirees whose healthcare and life insurance benefits are threatened due to a company filing for a bankruptcy. Stahl Cowen is one of the leading firms in the country in terms of representing Retiree Committees. Our clients have included Edison Mission Energy Homer City Generation Retirees; the Patriot Coal Non-Union Retiree Committee; the Dana Salaried Retiree Committee; the Hayes Lemmerz Salaried Retiree Committee; the Visteon Retiree Committee; the International Metals Staff Retiree Committee; the PTC Alliance Retiree Committee; the Delphi Salaried Retiree Committee; the Bell, Bowe & Howell Salaried Retiree Committee; and the Wagner Steel Retiree Committee.
Jon also has extensive experience in helping his clients create new healthcare insurance plans and in reducing healthcare insurance expenses through the formation of Voluntary Employee Beneficiary Associations (VEBAs). Jon’s experience with VEBA plans also involves overseeing VEBA operations, ERISA and HIPAA compliance issues. Jon provides fiduciary role and HIPAA training on a national level to welfare plan fiduciaries.
Jon serves as general business counsel to several corporations and high net worth individuals. This includes the representation of India-based entities who conduct business in the U.S., as well as Indian corporations seeking to merge or acquire businesses in the U.S.
