David Staub is an experienced business lawyer practicing primarily in the areas of mergers and acquisitions, corporate law, corporate finance, technology law, tax law and commercial finance. In his mergers and acquisitions practice, he has represented buyers and sellers in transactions of all sizes, not just in the Chicago area but throughout the United States and Canada. He counsels his business clients on a wide variety of legal issues including private equity, venture capital and other financing; LLCs, joint ventures and strategic business relationships; software development contracts, software license agreements and other technology law issues; sales agency and other distribution matters; shareholder and partner disputes; and employment and executive compensation arrangements.

Mr. Staub also has significant experience in securing and protecting a business' intellectual property, including trademark law, copyright law, know-how and trade secrets, through combinations of registrations, contractual restrictions and licensing agreements.

Mr. Staub serves as a business attorney to entrepreneurial and family-owned companies in such diverse activities as software development, broadcast media, transportation logistics, construction, retailing, distribution, manufacturing, banking, consulting and other professional service organizations.

As a mergers and acquisitions attorney, Mr. Staub has represented both buyers and sellers in a wide range of middle-market M&A; transactions including tax-free mergers, spin-offs, cross-border sales of business assets, corporate restructurings, asset purchases, stock purchases and management-led buyouts (LBOs).

Mr. Staub began his practice in Chicago as a tax attorney with the international law firm Mayer, Brown & Platt (now Mayer, Brown, Rowe & Maw). In 1983, he was a founding partner of Cowen, Crowley, Nord & Staub, P.C. He subsequently joined Shefsky & Froelich Ltd. as a tax and corporate attorney, serving as co-chair of that law firm's corporate practice group for ten years, and as a member of its board of directors and administrative committee. In 1996, he rejoined Cowen, Crowley, Nord & Staub, P.C. where he practiced until the formation of Stahl Cowen Crowley LLC in 2001 when he became a founding member of the current firm.

Mr. Staub has written and lectured to attorneys, accountants and other professionals on LLCs, business law and taxes. Topics have included: Buying and Selling a Business: The Letter of Intent (Chicago Bar Association); Counseling the Small Business Client in Illinois (National Business Institute); Limited Liability Companies and Limited Liability Partnerships in Illinois (NBI); and Piercing the Corporate Veil (Chicago Bar Association).
