Stahl Cowen has a long history of helping local, regional, and national programmers and radio and television licensees – of AM and FM stations, UHF and VHF television channels, and cable TV and satellite radio – navigate a rapidly evolving and highly competitive landscape.

We guide them through the purchase and sale of stations, including the acquisition of hardware, technology, and intellectual property owned by the target. We help them set up broadcast agreements and contracts with advertisers and vendors, and defend them in disputes related to those arrangements. We advise them on employment issues, financing operations and activities, qualifying transfers through the Federal Communications Commission (FCC), and more.

For example, we represented a client on the FCC's most recent 5G spectrum auction, prepping the station for sale under the regulatory guidelines of the bandwidth sell-off.

Together with colleagues, our media lawyers provide a wide range of real estate and land use guidance to clients, including financing acquisitions of space and property, zoning and permitting of antenna facilities, towers, and transmitters, and drafting and negotiating site and commercial leases.

Our lawyers have significant experience assisting owners of stations targeting cultural and ethnic audiences, some of which have been clients of the firm or its predecessors for more than 20 years. As a result of these long-standing representations, we have particular strengths providing solutions to the unique business and legal issues these businesses face.
