Technology Acquisitions
For clients acquiring computer systems, our attorneys negotiate agreements involving hardware purchase and leasing; software and other intellectual property licensing, customization and maintenance; system integration; outsourcing arrangements; and related services. We counsel clients in the proper structuring of those agreements, and deal directly with vendors on behalf of clients, especially in larger systems acquisitions.

Internet Presence
For clients whose Internet presence is an important function of their business, we negotiate web development and web hosting agreements, prepare terms of use and other agreements governing the use of the web site and online databases; help develop privacy policies; and negotiate and structure agreements with linked sites and content providers.

Intellectual Property Protection
In the area of protection and transfer of technology, our attorneys apply for and obtain trademarks and copyrights, safeguard trade secrecy through confidentiality and nondisclosure agreements, and prepare licensing documents and other instruments for the protection of a client's intellectual property against unauthorized use.
